Todd represents and works with developers, technology companies, private equity, venture capital and infrastructure funds on developing and financing sustainable and impact projects, including renewable and conventional energy projects, clean tech, agriculture tech and food tech companies and infrastructure projects.

Todd also works with entrepreneurs and technology focused companies to start up, create their company, hire employees, raise angel, venture, crowdfunding and other financing, grow their business, buy other companies and sell their business when the time is right.

Selected Experience

Project Development and Finance

  • Worked as outside general counsel to a New York based family office to develop a renewable energy project, including complex financing and tax structure, joint venture with impact private equity firm, credit facility with sustainability focused lender, ITC financing, Opportunity Zone Financing and negotiated construction and other key contracts.

  • Served as outside general counsel to a Midwest based developer on an advanced biofuels project, including negotiating joint venture with California based impact venture fund, and served as local counsel for the project financing.

  • Financed the acquisition and expansion of a $30 million renewable fuel facility in the Midwest.

  • Worked with local developers to develop and finance a $100 million renewable energy facility, including seed capital, SEC registered offering and strategic investors.  Also helped negotiate and draft construction and critical contracts.

  • Served as outside general counsel to a $100 million renewable energy company, including SEC reporting, key contracts and financing matters.

  • Worked with Midwest based biodiesel developers to finance $60 million soy crush and biodiesel facility.

  • Worked as outside general counsel with sustainable aquaculture company on its incorporation, angel financing, strategic financing, engineering and construction contracts, technology contracts, key licensing, board advisory and a multi-billion dollar multi-project financing and construction plan.

  • Worked with a multinational Asian company to develop a multi-plant renewable energy project in the U.S. valued at over $600 million.

  • Helped a sustainable Bioplastics company raise angel funding and negotiate critical U.S. and Asian contracts.

  • Provided company and project financing legal expertise for a solar energy company, including crowdfunding, ITC and bank financing.

  • Developing a $200 million soybean crush and biodiesel facility in the Midwest, including company formation, seed capital, R&D agreements, feedstock and off take agreements, construction agreements and equity and debt financing.

  • Project counsel for a $60 million waste to ethanol project, including negotiations with impact private equity joint venture, real estate matters and green bond financing.

  • Company counsel to $50 million waste to energy and biogas project, including project financing, key contracts, pipeline agreements and RFS and LCFS off take agreements.

  • Counsel to impact infrastructure developers on a series of waste to biogas projects.

  • Counsel to East Coast project developer on series of waste to energy projects, including construction and technology contacts and equity and debt financing.

  • Project counsel to Midwest-based waste to energy gasification project.

  • Company counsel to U.S. subsidiary of an European renewable energy company.

  • Special project counsel to U.S. subsidiary of a European seed company on an industrial sugar seed project.


Mergers and Acquisitions

  • Company counsel for an industrial company on $100 million sale of assets to one of the largest U.S. private equity buyers.

  • Company counsel on $20 million sale of stock to private equity buyer as part of a roll-up of industrial companies.

  • Company counsel on $760 million merger of agriculture equipment companies.

  • Buy-side company counsel on $40 million strategic acquisition of competitor.

  • Buy-side company counsel for medtech company with operations in U.S. and China.

Todd’s favorite book is “Hitchhikers Guide to the Galaxy,” he was born in Canada and lived in Brussels, Belgium for four years learning to like mayonnaise on French fries.  Todd believes expertise combined with passion is the best way to serve clients while finding value.
