I enjoy putting deals together and acting as a trusted adviser to my clients. I have represented a broad range of companies from startups to Fortune 500’s. I am fortunate to work on a wide variety of matters including complex business agreements, intellectual property licenses, joint ventures, strategic partnerships, mergers, acquisitions, and company formation, financings and governance. I also serve as outside general counsel, responding to the day-to-day legal needs of my clients.
I have deep experience working with technology-based clients. I represent a variety of companies developing new technologies such as artificial intelligence, hardware, software, 3D printing, novel chemistry solutions and green and bio-based chemistry solutions.
Prior to joining Avisen, I served as General Counsel and Secretary of Nature Works LLC (formerly Cargill Dow), worked as a Senior Attorney at Intel Corporation (advising its new business incubator), and grinded away as a corporate associate at Covington & Burling in Washington, D.C.
In my free time, I enjoy spending my time with my family (including my Goldendoodle, Jack), skiing, biking and playing squash.
Entrepreneurial Business Law
- Series A financing of a 3D printing solutions provider which included a strategic investor.
- Redemption of preferred series seed shares for an AI software company.
- SAFE financing and later seed round financing for a software consulting company.
- Equity financing for multiple residential real estate development and construction residential apartment building projects, including a real estate development joint venture.
- Convertible note financings for an electronic medical records company
Impact Counsel
- Outside general counsel to electronic medical records software company that provides solutions for mobile clinics in underserved areas of Africa and South America.
- Structuring and formation of a multi asset opportunity zone fund focused on triple bottom line impact investing in Minnesota.
- Outside general counsel to an international bioplastics company that reduces green- house gases by manufacturing plastic from plants instead of oil.
- Outside general counsel to multiple green chemistry companies that make safer solutions for potentially hazardous products.
Mergers and Acquisitions
- Sale of construction management software App to a private equity buyer. The deal included structuring a significant earnout.
- Spinout of a machine learning data processing App from an artificial intelligence consulting company.
- Sale of a construction company with a national footprint to a private equity buyer.
- Advice regarding the sale of a high-end construction home builder to an existing employee
- Sale of electronic publishing assets on behalf of a national trade organization to an international electronic media company.
Opportunity Zones
- Structuring and formation of a multi asset opportunity zone fund focused on triple bottom line impact investing in Minnesota.
- Structuring, formation and securities law compliance for a variety of single asset opportunity zone funds developing and constructing various real estate projects in the Twin Cities.
Outside General Counsel
- Outside general counsel for an international bioplastics company in negotiating a long term global supply agreement with a Fortune 500 customer. We also counsel the client routinely on their day to day contracting involving vendors, technology and R&D partners, key strategic suppliers, and outsourced manufacturers. We provide routine corporate governance counsel to their executive team and Board.
- Outside general counsel to a global software and chemical solutions provider for 3D printed materials. We acted as counsel for multiple funding rounds for this client, ensuring their compliance with security laws. We also serve as their day-to-day go-to counsel for matters as- simple as non-disclosure agreement and as complex and intellectual property licensing agreement with strategic partners. We provide advice on decisions to hire, fire and provide equity incentive compensation to their employees and executives. We provide this client with governance advice and as counsel to their Board.
- Outside general counsel to green chemistry start-up. We helped this client negotiate a cross border outsourced manufacturing agreement that is critical to its business and that protects its most important intellectual property. We provide strategic guidance and day to day counsel to the client on their relationships with potential customers and strategic investors, many of whom are large companies with global operations.
- Outside general counsel to an artificial intelligence (AI) consulting and software company in negotiating technology services agreements and SaaS Agreements for customers in various fields, including fighting climate change and financial services. We help this company with their day do day contracting needs, but we also help with key inflection points like spinning out divisions and redeeming stock from investors. We also provide advice on privacy law (including CCPA and GDPR) related to their web crawling services. We drafted the standard forms that this client uses for customer engagements.
- Outside general counsel to an electronic medical records SaaS company. We helped this client when they raise startup capital, hire employees and negotiate their contracts with their customers. We drafted their form of SaaS agreement that they use for customer engagements.
- Outside counsel to a building climate solutions technology provider in negotiating a long term hardware supply agreement with a global HVAC equipment and solutions provider.
Intellectual Property Transactions
- Negotiated a patent and technology transfer license on behalf of a startup spinning out of a state university.
- Negotiated a patent and material transfer license on behalf of a startup spinning out of a private university and assisted the startup in sublicensing the patents to others.
- Negotiated a long-term SaaS Agreement with a global commercial HVAC solution provider that allowed the HVAC provider to white label the client’s SaaS solution.
- Drafted standard form of software license and custom software develop agreement for a client that provides software solutions for financial services.
- Negotiated a web crawling and machine learning services agreement with a large investment house on behalf of a client providing AI solutions in the financial services space.
- Negotiated a joint venture between two bio-based chemical companies to develop novel chemistry solutions
